Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of Wren and the SkaiPilot platform operated by Holy Metal Solutions, LLC, an Ohio limited liability company ("Holy Metal Solutions," "we," "us," or "our"). By creating an account, joining the waitlist, or using any part of the Services, you agree to be bound by these Terms and our Privacy Notice (incorporated by reference).

If you do not agree to these Terms, do not use the Services.

2. About Wren

Wren is a subscription-based AI-powered financial management platform that aggregates household financial account data, generates analysis and opportunity findings, surfaces issues ranked by dollar impact, and executes the financial actions you explicitly approve — always reversibly.

Wren is one product of Holy Metal Solutions, LLC, which also operates the SkaiPilot enterprise automation platform. Wren is not a financial advisor, investment adviser, broker-dealer, tax preparer, or law firm. See the Disclaimer for full details.

3. Eligibility

To use the Services, you must:

• Be at least 18 years of age
• Be a resident of the United States
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Services under applicable law

By using the Services, you represent and warrant that you meet all eligibility requirements.

4. Account Registration

Most features of the Services require you to create an account. You agree to:

• Provide accurate, complete, and current registration information
• Maintain the security of your account credentials and not share them
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

You may not create an account on behalf of another person without their explicit authorization and consent.

5. Subscription Plans and Billing

Billing

Paid subscriptions are billed monthly in advance in U.S. dollars. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods unless required by applicable law.

Price Changes

We may change subscription prices with at least 30 days' advance notice. Continued use of the Services after a price change takes effect constitutes acceptance of the new price.

Beta Period

During the private beta, Services may be provided free of charge or at reduced rates. We reserve the right to transition beta users to paid plans with advance notice.

6. Insurance Services

Insurance features within Wren are provided through a licensed insurance agent of record (Bishop & Associates Agency, LLC) and are available only in states where the agent is licensed: OH, AZ, CA, GA, IL, IN, KY, MO, NC, NV, TX, WI.

By using insurance features, you acknowledge and agree that:

• Insurance analysis is informational and based on available data; it is not a guarantee of suitability or coverage availability
• A policy is placed only upon your explicit, affirmative approval
• Bishop & Associates Agency, LLC, the licensed agent of record, may earn agent commissions on placed policies; you will be informed before any policy decision
• Policy issuance is subject to insurer underwriting approval and may be declined
• These features do not constitute insurance advice within the meaning of applicable state law except as reviewed and confirmed by the licensed agent of record

7. AI-Powered Features

The Services use artificial intelligence to analyze your data and generate findings. By using AI-powered features, you acknowledge that:

• AI outputs are observations and are not financial, investment, tax, or legal advice
• AI outputs may be incomplete or inaccurate and should be independently verified for material decisions
• Wren will disclose when you are interacting with an automated system
• Wren never takes action on your financial accounts without your explicit approval
• All actions are designed to be reversible

8. Third-Party Integrations

Plaid

Wren uses Plaid to connect to your financial accounts. By connecting an account, you agree to Plaid's End User Privacy Policy (available at plaid.com/legal/end-user-privacy-policy). Holy Metal Solutions is not responsible for Plaid's services, data practices, security, or availability.

Other Third-Party Services

The Services may integrate with or link to other third-party services. Your use of those services is governed by their terms and privacy policies. We are not responsible for third-party content, practices, security, or availability.

9. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to any part of the Services or any connected accounts
• Interfere with or disrupt the Services, servers, or networks connected to the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to process financial data on behalf of others without their explicit, informed consent
• Provide false, inaccurate, or misleading information in connection with registration or use
• Use the Services if you are under 18 years of age
• Resell, sublicense, or commercially exploit the Services without our written authorization

10. Intellectual Property

The Services, including all software, designs, text, graphics, logos, AI models, and related materials, are owned by Holy Metal Solutions or its licensors and are protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes in accordance with these Terms.

"Wren," "SkaiPilot," and related marks and logos are trademarks of Holy Metal Solutions, LLC. You may not use them without our prior written permission.

11. Disclaimers of Warranty

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOLY METAL SOLUTIONS DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOLY METAL SOLUTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING LOST PROFITS, LOSS OF DATA, OR FINANCIAL LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.00.

Some jurisdictions do not allow certain limitations on liability. In those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Holy Metal Solutions, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any information you provide through the Services.

14. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles.

Informal Resolution

Before initiating any formal proceeding, you agree to contact us at info@skaipilot.ai and give us 30 days to attempt to resolve the dispute informally.

Binding Arbitration

Any dispute not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You waive any right to a jury trial or to participate in a class action.

Exception

Either party may seek emergency injunctive relief in a court of competent jurisdiction in Hamilton County, Ohio.

15. General Provisions

• Entire agreement. These Terms and our Privacy Notice constitute the entire agreement between you and Holy Metal Solutions regarding the Services and supersede all prior agreements.
• Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
• No waiver. Our failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Changes. We may update these Terms. Material changes will be communicated with at least 30 days' advance notice. Continued use constitutes acceptance of updated Terms.
• Force majeure. We are not liable for failure to perform due to circumstances beyond our reasonable control.
